End User License Agreement

G2 Created By Extension for Microsoft Dynamics 365 Business Central

Effective Date:

1. Definitions

• “Extension” means the G2 Created By software extension for Microsoft Dynamics 365 Business Central.
• “Licensor” means G2 Systems Group.
• “Licensee” or “You” means the individual or entity installing or using the Extension.
• “Business Central” means Microsoft Dynamics 365 Business Central.

2. Grant of License

Subject to the terms and conditions of this Agreement, G2 Systems Group grants you a limited, non-exclusive, non-transferable license to:

• Install and use the Extension within your Microsoft Dynamics 365 Business Central environment
• Use the Extension for your internal business purposes
• Access and use the Extension’s features and functionality as provided

3. License Restrictions

You may NOT:

• Copy, modify, adapt, alter, translate, or create derivative works of the Extension
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Extension
• Remove, alter, or obscure any proprietary notices, labels, or marks on the Extension
• Rent, lease, lend, sell, sublicense, or otherwise transfer the Extension to any third party
• Use the Extension for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to any portion of the Extension or related systems
• Use the Extension in any manner that could damage, disable, overburden, or impair any server or network

4. Intellectual Property Rights

The Extension, including all code, documentation, and related materials, is the exclusive property of G2 Systems Group and is protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted to you are reserved by G2 Systems Group.

5. Microsoft Dynamics 365 Business Central

This Extension is designed to work with Microsoft Dynamics 365 Business Central. Your use of Business Central is subject to Microsoft’s terms and conditions. This Agreement does not grant you any rights to use Microsoft Dynamics 365 Business Central, which must be licensed separately from Microsoft.

6. Updates and Modifications

G2 Systems Group may, at its discretion, provide updates, modifications, or new versions of the Extension. This Agreement applies to all such updates and modifications unless accompanied by a separate license agreement.

7. Support

Support for the Extension may be provided as described in the Extension documentation or through separate support agreements. G2 Systems Group is not obligated to provide support, maintenance, or updates unless otherwise specified.

8. Warranty Disclaimer

THE EXTENSION IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY, RELIABILITY, OR COMPLETENESS
• UNINTERRUPTED OR ERROR-FREE OPERATION

G2 Systems Group does not warrant that the Extension will meet your requirements or that the operation of the Extension will be uninterrupted or error-free.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL G2 SYSTEMS GROUP BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, OR USE
• BUSINESS INTERRUPTION
• LOSS OF BUSINESS INFORMATION

ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE EXTENSION, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF G2 SYSTEMS GROUP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall G2 Systems Group’s total liability exceed the amount paid by you for the Extension, if any.

10. Indemnification

You agree to indemnify, defend, and hold harmless G2 Systems Group, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Extension or violation of this Agreement.

11. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms. Upon termination:

• You must cease all use of the Extension
• You must uninstall and delete all copies of the Extension
• All provisions of this Agreement that by their nature should survive termination shall survive

12. Export Restrictions

You agree to comply with all applicable export and import laws and regulations. You may not export or re-export the Extension in violation of any applicable laws or regulations.

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of British Columbia, Canada.

14. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

This Agreement constitutes the entire agreement between you and G2 Systems Group regarding the Extension and supersedes all prior or contemporaneous communications, proposals, and agreements.

16. Modifications to Agreement

G2 Systems Group reserves the right to modify this Agreement at any time. Material changes will be communicated through the Extension or via email. Your continued use of the Extension after such modifications constitutes acceptance of the modified Agreement.
